Item 7.01                Regulation FD Disclosure

                         On November 15, 2021, we announced plans to 

complete previously announced

                         natural gas and natural gas liquids (NGL) 

infrastructure projects,

                         including:

                         •Demicks Lake III, a 200 million cubic feet per 

day natural gas processing

                         facility in the Williston Basin; and
                         •MB-5, a 125,000-barrel per day NGL fractionator 

in Mont Belvieu, Texas.

                         A copy of the news release is attached as Exhibit 

99.1 and is incorporated

                         herein by reference.
