Announcement of appointment of Head of the Internal Audit Department

The Listed Company with the corporate name "PPA SA" announces in accordance with paragraphs 4.1.3.1 and 4.1.3.6 of the Regulation of the Athens Stock Exchange, as applicable, in conjunction with article 17 par. 1 of Regulation (EU) no. 596/2014 of the European Parliament and the Council of April 16, 2014 that by virtue of the decision of the Company's Board of Directors dated 29/03/2024, taken following the proposal of the Company's Audit Committee dated 27/03/2024, Mr. Tsomakos Nikolaos was appointed as new Head of the Company's Internal Audit Department, replacing Mrs. Evgenia Pantelopoulou.

Mr. Tsomakos meets all the criteria and conditions of the provisions of the current legislative framework (in particular article 15 of Law 4706/2020) and the provisions of the Company's Operating Regulations, i.e. he is full and exclusive employed, has personal and operational independence, is not a member of the Board of Directors or a member with the right to vote in permanent committees of the Company, does not have close ties with anyone who holds one of the above qualities in the Company and has the appropriate knowledge to assume the above position as he is a graduate of the Department of Business Administration from the Piraeus University, Certified Internal Auditor (from the Institute of Internal Auditors) and has almost twenty years of professional experience in internal control.

The Head of the Internal Audit Department will provide in writing any information requested by the Capital Market Commission, will cooperate with it and will facilitate in every possible way the task of monitoring, control and supervision by it.

Mr. Tsomakos undertakes the duties of the Head of the Company's Internal Audit Department from 17.04.2024.
