LLX Logistica : Material Fact - Contract (“Heads of Agreement”) with Granenergia Navegação Ltda.

MATERIAL FACT

Prumo Logística S.A. ("Company" or "Prumo") (Bovespa: PRML3), in attention to art. 157, § 4 of Law 6,404/76 and in accordance with CVM Instruction 358/02, hereby informs its shareholders and the market in general that, on October 21st 2016, its subsidiary Porto do Açu Operações S.A. executed a contract ("Heads of Agreement") with Granenergia Navegação Ltda.

The Heads of Agreement sets forth the party's commitment to set up a partnership ("Partnership") focused to provide integrated solutions of services to the offshore and logistic industries, such as: naval repair and maintenance; construction, assembly and maintenance of a wide range of equipments; logistic support to the oil & gas operations by means of storage, cargo handling, logistics of the crew, and so forth; water and waste treatment; amongst others ("Services").

The Heads of Agreement also stablishes the Partnership's principles and guidelines, as well as the terms and conditions of the definitive agreements to be executed by and between the parties.

The Partnership will be initially located at the Terminal 2 of the Açu Port, in an area of 47,000 square meters, of which 17,000 square meters with existing built structures, such as administrative buildings, warehouses, ambulatory, refectory, among others. Besides that, the Partnership's area features 460 meters of quay ready for immediate operations. Therefore, the Services to be provided by the Partnership will be rendered with the already built and available infrastructure of the Açu Port (such as navigation channel, breakwater, berths for mooring of vessels and so forth).
