SUNORA ANNOUNCES RESULTS OF THE SPECIAL MEETING

FOR GOING PRIVATE TRANSACTION

Calgary, Alberta - Mr. Steve Bank, President and Chief Executive Officer

of Sunora Foods

Inc.

(the "Corporation" or "Sunora") (TSXV - "SNF"), announces that at its special meeting of shareholders held on December 3, 2021 (the "Meeting"), shareholders approved the arrangement ("Arrangement") under section 193 of the Business Corporations Act (Alberta), whereby, among other things, 2326230 Alberta Ltd. will acquire 100% of the issued and outstanding common shares held by shareholders, for the Cash Consideration ($0.17) and the VTB Financing (such terms as defined in the Information Circular).

Following completion of the Arrangement, the Corporation will apply to have its common shares delisted from the TSX Venture Exchange (the "TSXV") and it will also apply to the applicable Canadian securities regulatory authorities to cease to be a reporting issuer in each province in which it currently reports.
