Publication of provisional end result for Sunrise tender offer
Liberty Global plc ("Liberty Global") and its wholly-owned Swiss subsidiary UPC Schweiz GmbH ("UPC") announced today the provisional notice of the end result of its public tender offer to acquire all publicly held shares of Sunrise Communications Group AG ("Sunrise") for CHF 110 per share per the offer prospectus of August 27, 2020.
At the expiration of the additional acceptance period on October 28, 2020, 4 p.m. Swiss time, and based on preliminary numbers, a total of 43,670,149 Sunrise shares had been tendered, corresponding to 96.48% of the voting rights and the share capital of Sunrise. The provisional end results are available on https://www.nationalconnectivitychallenger.ch/#for-investors.
The tender offer is still subject to certain conditions, including regulatory approvals, as further described in the offer prospectus. The indicative timetable for the settlement of the public tender offer, assuming all offer conditions are satisfied or waived by the time of the settlement, is as follows:
