CONCLUSION OF THE COMBINATION OF BUSINESSES OF SLC AGRÍCOLA AND TERRA SANTA

AGRO

SLC Agrícola S.A. (B3: SLCE3; ADR's: SLCJY; Bloomberg: SLCE3: BZ; Refinitiv: SLCE3.SA) ("SLC")

and Terra Santa Agro S.A. (B3: TESA3; Bloomberg: TESA3: BZ; Refinitiv: TESA3 .SA) ("Terra Santa" and together with SLC, "Companies"), pursuant to Law No. 6,404/76 and CVM Ruling No. 358/02, hereby inform their respective shareholders and the market in general, that the closing acts for the closing of the business combination of SLC with the agricultural operation of Terra Santa (excluding land and improvements) were concluded, upon merger of the shares of Terra Santa by SLC, in accordance with Articles 252, 224 and 225 of the Law nº 6.404 / 76 ("Merger of Shares" or "Operation"), specifies the closing of the Transaction.

Furthermore, the Companies hereby inform that the exchange ratio considering a greater decimal opening is equivalent to: (i) 3.32367074 shares of TS Agro for each share of Terra Santa, for purposes of the Capital Reduction; and (ii) for purposes of the Merger of Shares, 0.08588495 shares of SLC for each share of Terra Santa and 0.46060000 shares of SLC for each warrant of Terra Santa still outstanding.

In view of all of the above, the closing of the Operation was confirmed, with effectiveness date of the Capital Reduction and conclusion of the Merger of Shares on August 1, 2021, starting date of trading for the new shares of SLC and shares of Terra Santa Properties Agrícolas SA (formerly TS Agro SA) ("TS Agro") on August 2, 2021 and the settlement date and credit of the shares on August 4, 2021.
