RELEASE OF ANNOUNCEMENT BY A SUBSIDIARY LISTED ON THE INDONESIA STOCK EXCHANGE

• INFORMATION DISCLOSURE OF CERTAIN SHAREHOLDER IN RELATION TO DISPOSAL OF SHARES IN SUBSIDIARY

The board of directors ("Board") of Wilton Resources Corporation Limited (the "Company") wishes to inform shareholders of the Company that PT Wilton Makmur Indonesia TBK ("PT WMI"), the Company's subsidiary listed on the Indonesia Stock Exchange ("IDX"), had on 9 December 2021, released an announcement on the IDX entitled "Information Disclosure of Certain Shareholders" ("IDX Announcement").

The IDX Announcement is required of PT WMI as a listed company on the IDX, pursuant to Financial Services Authority Number 60 / POJK.04 / 2015. The IDX Announcement contains, inter alia, information in respect of the disposal of 234,408,500 shares of PT WMI ("Relevant Shares") by Wilton Resources Holdings Pte. Ltd. ("WRH"), a wholly-owned subsidiary of the Company ("WRH Share Sale").

The WRH Share Sale is pursuant to a share sale and buyback agreement ("Agreement") entered into by WRH with a third party lender ("Lender"). Pursuant to the terms and conditions set out in the Agreement, among others, the Relevant Shares, having been transferred by WRH to the Lender as security for a loan from the Lender, shall be redeemed by WRH at a later date. Accordingly, the Group's effective shareholding interest in PT WMI has decreased from 89.00% to 87.49% immediately after the WRH Share Sale. For the avoidance of doubt, notwithstanding the decrease in the Group's effective shareholding interest in PT WMI due to the WRH Share Sale, the WRH Share Sale shall be accounted for by the Group as a debt obligation, instead of a disposal of the Relevant Shares.
