UNANIMOUS WRITTEN CONSENT OF THE BOARD OF DIRECTORS OF

WINNERS, INC.

The undersigned Board ofDirectors of Winners, Inc., a Nevada corporation (the "Corporation") do hereby adopt the following resolution byunanimous written consent inlieu of a meeting pursuant to the Bylaws of the Company and Nevada Revised Statutes 78.315(2):

RECITALS

In lieu of a meeting of the Company's Board of Directors, the following written consent was circulated to the Board of Directors for unanimous consent.

WHEREAS, the Company wishes to file a notification of late filing for the Quarter ending June 30th 2022 with OTC Markets;

NOW, THEREFORE, BE IT:

RESOLVED: The Company has approved and is hereby authorized to file a notification of late filing for the Quarter ending June 30th, 2022, with OTC Markets.

IN WITNESS WHEREOF, the undersigned have executed this document to be effective this 15th day of August 2022 and consent to the foregoing resolutions and actions and direct that this written consent be filed with the minutes of the proceedings of the Board of Directors, and that said resolutions and actions shall have the same force and effect as if they were adopted at a meeting at which the undersigned were personally present and voted. This written consent may be executed in one or more counterparts, each of which shall be treated as an original, but all of which together shall constitute one and the same instrument.
