SUPPLEMENTAL AGREEMENT TO

THIRD EXTENSION AGREEMENT

Reference is made to the announcement of the Company dated 11 March 2021 regarding the Third Extension Agreement (the "Announcement"). Unless the context requires otherwise, capitalised terms used herein shall have same meanings as those defined in the Announcement.

As stated in the Announcement, the circular (the "Circular") containing, among other things, further particulars of the Third Extension Agreement, together with the recommendations of the Independent Board Committee, a letter from the independent financial adviser, and a notice convening the EGM is expected to be despatched to the Shareholders on or before 31 March 2021.

DELAY IN DESPATCH OF THE CIRCULAR

As at the date of this announcement, the Company has yet to obtain clearance from the Stock Exchange on the Circular. As additional time is required for the preparation of information to be included in the Circular, it is expected that the despatch date of the Circular will be postponed to a date on or before 30 April 2021.

SUPPLEMENTAL AGREEMENT TO THE THIRD EXTENSION AGREEMENT

The First Tranche Loan was originally due on 31 March 2021 and had been further extended to 31 October 2021 under the Third Extension Agreement, which will be subject to Independent Shareholders approval at the EGM. As agreed in the Third Extension Agreement that subject to, among others, that the clearance on the Circular having been obtained from the Stock Exchange on or before 31 March 2021, the Lender will not claim the Borrower for breach of Loan Agreement.

As at 31 March 2021, the Company has yet to obtain the Stock Exchange's clearance on the Circular. On 31 March 2021, the Dalian Shengyue Property Development Company Limited (大連聖躍房地產開

發有限公司) (the Borrower) and Shanghai Jiayu Medical Investment Management Co., Ltd. (上海嘉愈 醫療投資管理有限公司) as (the Lender) entered into a supplemental agreement to amend the terms as

set out under section headed "The Third Extension Agreement - Principal Terms of the First Tranche Loan under the Loan Agreement - Others" in the Announcement to remove the deadline regarding the Stock Exchange's clearance on the Circular as follows:

If the Borrower has not repaid the First Tranche Loan on 31 March 2021 and that the Announcement has been published on the Stock Exchange's website pending Independent Shareholders approval to be obtained at the EGM, the Lender agreed that: (i) it will not claim against the Borrower for breach of the Loan Agreement from 1 April 2021 to the date of the EGM; and (ii) it will not claim against the Borrower for breach of the Loan Agreement from 1 April 2021 to the date of the EGM after the Independent Shareholders approval has been obtained at the EGM.

Save as disclosed above, all other terms and conditions of the Third Extension Agreement shall remain unchanged and shall continue to be in full force and effect.
