Announcement according to § 50 (1) S. 1 No. 1 WpHG Registered office of ZEAL Network SE transferred to Hamburg, Germany with complete revision of Statutes (Hamburg, 25 October 2019) The transfer of the registered office of ZEAL Network SE from London, UK, to Hamburg, Germany, became effective today after being entered in the commercial register of the Local Court of Hamburg. The transfer of the company's registered office also entailed the replacement of its Statutes by the new Statutes approved by the General Meeting of 25 September 2019. The 22,396,070 registered shares with a nominal value of EUR 1.00 have been converted by virtue of law into 22,396,070 registered no-par value shares under the laws of Germany with a prorated amount of share capital of EUR 1.00. The registered shares of ZEAL Network SE are expected to be traded under the new ISIN DE000ZEAL241 / WKN ZEAL24 on the regulated market (Prime Standard) of the Frankfurt Stock Exchange as of 29 October 2019. The shares will not anymore be traded in the form of so-called Clearstream Interests (CI). The necessary changes to shareholder depository accounts will be made automatically. Shareholders do not need to make any arrangements in this regard.
