COMPANY CONFIRMS 11 DECEMBER 2017 AS EFFECTIVE DATE THE EXCHANGE OF OLD DEBTS WITH NEW SECURITIES & NEW LOANS

Jakarta, 6 December 2017

The Company confirms that its three SPVs: Enercoal Resources Pte Ltd, Bumi Capital Pte Ltd, and Bumi Investment Pte Ltd., the issuers of Guaranteed Convertible Bonds (due 2014), Guaranteed Senior Secured Notes (Due 2016 and 2019) have conveyed Settlement Instructions to eligible lenders on 5 December 2017, that the settlement for delivery of the new loans and new securities is expected to occur on 11 December 2017 (the Effective Date) as already advised earlier.

The Exchange Consideration formula for each issue that Noteholders should expect to receive for each US$1000 principal amount has also been advised by value of New Senior Secured Debt, MCB, CVRs and shares, as applicable. The mechanism, procedure and relevant details for the settlement have been described. It has also been advised that in terms of the Debt Composition Agreement, Holders who failed to participate by submitting their Notice of Election prior to 11 September 2017 would have their applicable notes cancelled as of 11 December 2017 (the present Effective Date).

The individual settlement notices by the 3 SPV's on 5 December 2017 have already been conveyed to eligible lenders and the beneficial owners. If any party has not received the settlement notices as yet, they are advised to contact the Company [e-mail].

PERSEROAN MENEGASKAN TANGGAL 11 DESEMBER 2017 SEBAGAI TANGGAL EFEKTIF PERTUKARAN UTANG LAMA DENGAN SAHAM BARU & UTANG BARU

Jakarta, 6 Desember 2017

Perseroan menegaskan bahwa ketiga SPV Perseroan: Enercoal Resources Pte Ltd, Bumi Capital Pte Ltd, dan Bumi Investment Pte Ltd, penerbit Guaranteed Convertible Bonds (jatuh tempo 2014), Guranteed Senior Secured Notes (jatuh tempo 2016 dan 2019) telah menyampaikan Instruksi Penyelesaian kepada para kreditor yang berhak pada tanggal 5 Desember 2017, bahwa penyelesaian atas penyerahan utang baru dan saham baru diharapkan dapat dilakukan pada tanggal 11 Desember 2017 (Tanggal Efektif) sebagaimana disampaikan di atas.

Formula Konsiderasi Penukaran untuk setiap penerbitan yang diharapkan diterima oleh pemegang surat utang (noteholder) untuk setiap jumlah pokok sebesar US$1000 juga telah disampaikan berdasarkan nilai Utang Separatis Senior Baru, Obligasi Wajib Konversi, Hak Nilai Kontingen (CVR) dan saham, sebagaimana dapat diterapkan. Tata cara, prosedur dan rincian yang relevan sehubungan dengan penyelesaian tersebut telah dijelaskan. Juga telah diberitahukan bahwa sehubungan dengan Perjanjian Perdamaian, pemegang surat utang yang tidak ikut serta menyampaikan surat pemberitahuan memilih (Notice of Election) sebelum tanggal 11 September 2017 akan dibatalkan surat utangnya per 11 Desember 2017 (Tanggal Efektif Saat ini).

Seluruh pemberitahuan penyelesaian oleh 3 SPV tersebut pada tanggal 5 Desember 2017 juga telah disampaikan kepada para kreditor yang berhak dan pemilik manfaat. Bagi para pihak yang belum menerima pemberitahuan penyelesaian tersebut dapat menghubungi Perseroan [e-mail].
