VOLUNTARY ANNOUNCEMENT

TRANSFER OF A SHARES BY THE CONTROLLING

SHAREHOLDER FOR NIL CONSIDERAION

This announcement is made by China Shenhua Energy Company Limited (the "Company") on voluntary basis.

On 22 October 2018, the Company received a notice from China Energy Investment Corporation Limited ("China Energy"), the controlling shareholder of the Company, that as approved by the State-owned Assets Supervision and Administration Commission of the State Council, China Energy will transfer 358,932,628 A shares to Beijing Chengtong Financial Investment Co., Ltd. ("Chengtong Financial") and 358,932,628 A shares to Guoxin Investment Co., Ltd. ("Guoxin Investment") for nil consideration.

Before this transfer, China Energy holds 14,530,574,452 A shares of the Company, representing approximately 73.06% of the share capital of the Company. After this transfer, China Energy holds 13,812,709,196 A shares, representing approximately 69.45% of the Company; Chengtong Financial holds 358,932,628 A shares, representing approximately 1.805% of the Company; Guoxin Investment holds 358,932,628 A shares, representing approximately 1.805% of the Company. This transfer will not result in any change in the controlling shareholder of the Company or the de facto controller.

The Company will pay close attention to the development of the matter mentioned above, and will fulfil the duty of information disclosure in accordance with laws and regulations.
