Ausserordentliche Generalversammlung - Aktionäre nehmen alle Anträge des Verwal-tungsrats an

Altstätten, 14. September 2018 - Die ausserordentliche Generalversammlung der COLTENE Hol-ding AG (SIX Swiss Exchange: CLTN) stimmte sämtlichen Anträgen des Verwaltungsrats zu. Die Ak-tionäre beschlossen eine ordentliche Kapitalerhöhung im Maximalbetrag von bis zu CHF 70'316.70 durch Ausgabe von maximal 703'167 neuen Namenaktien mit einem Nennwert von je CHF 0.10.

Die neuen Aktien werden den bestehenden Aktionärinnen und Aktionären der COLTENE Holding AG im Rahmen eines Bezugsrechtsangebots «at market» zur Zeichnung angeboten. Die Aktionäre stimmten zudem der Schaffung von genehmigtem Aktienkapital im Maximalbetrag von CHF 115 000 durch Ausgabe von maximal 1 150 000 neuen Namenaktien mit einem Nennwert von je CHF 0.10 zu. Dieses genehmigte Aktienkapital ist ausschliesslich für die anschliessende Ausgabe von neuen Aktien an die Verkäufer von SciCan und Micro-Mega im Rahmen einer Sacheinlagekapi-talerhöhung reserviert. Weiter wählten die Aktionäre Allison Zwingenberger für eine Amtsdauer bis zur nächsten ordentlichen Generalversammlung als zusätzliches Mitglied in den Verwaltungs-rat. Die Wahl von Frau Zwingenberger steht unter dem Vorbehalt des Vollzugs der Akquisition von SciCan und Micro-Mega. Schliesslich stimmten die Aktionäre zwecks Bereinigung der Statuten auch der Streichung des bisherigen §32 der Statuten zu.

Am 25. Juni 2018 unterzeichnete COLTENE Holding AG eine Vereinbarung zum Kauf von SciCan (Des-infektionsgeräte und Hygieneprodukte) und Micro-Mega (Endodontie-Instrumente), zwei im Dental-markt ausgezeichnet verankerten Unternehmen, die 2017 gemeinsam einen Umsatz von zirka CAD 128 Mio. (CHF 97 Mio.) erwirtschafteten. Mit der geplanten Integration der beiden Dentalspezi-alisten wird COLTENE den Gruppenumsatz signifikant erhöhen und zukünftig rund 1'300 Mitarbei-tende beschäftigen.

Die heute von den COLTENE Aktionären genehmigten Kapitalerhöhungen dienen der Finanzierung von rund drei Vierteln des Kaufpreises von zirka CHF 200 Mio. Der verbleibende Viertel des Kaufprei-ses wird mit neuem Fremdkapital finanziert. Die Verkäufer (die von Arthur Zwingenberger gehaltene Arno Holding S.à.r.l. und Stefan Helsing) wer-den nach dem Vollzug der Transaktion 18,1% am Gesamtkapital und an den Stimmrechten der

COLTENE Holding AG halten. Vorbehältlich der Erfüllung der üblichen Bedingungen ist der Vollzug der Transaktion im Oktober 2018 vorgesehen.
