NOTICE TO THE MARKET
KROTON EDUCACIONAL S.A. (B3: KROT3) ("Company"), in compliance with Article 28 of Instruction 308/99 issued by the Securities and Exchange Commission of Brazil ("CVM"), hereby announces to its shareholders and the general market that the Company's Board of Directors approved today the substitution of PricewaterhouseCoopers Auditores Independentes ("PwC") by Deloitte Touche Tohmatsu Auditores Independentes ("Deloitte") for the next five (05) fiscal years, including the fiscal year ending December 31, 2019, to start its activities with the review of the quarterly financial statements ("ITRs") for the first quarter of 2019. Said replacement of independent auditor was driven by the need to unify the independent auditors of the Company and its subsidiaries following the acquisition of controlling interest in Somos Educação S.A. by the Company's subsidiary Saber Serviços Educacionais S.A. The Company further informs that PwC expressed its consent to the decision.
