NIREUS AQUACULTURE SA (hereinafter 'the Company'), following the resolutions taken on September 10, 2018 at the Company's Meeting of the Bondholders and the Ordinary General Meeting of Shareholders, announces that on 26.10.2018 the Company will proceed with the early repayment of the total bonds of the Company's Convertible Bond Loan of an initial amount of euro 19.995.575,10 with an issuance date 12.7.2007 (CBL) according to the terms of the CBL and the procedures set by the ATHEX.

The CBL is currently divided into 1.717.598 nominal common dematerialized bonds, convertible into registered shares, common, with a voting right of nominal value of each EUR 13.76 each, which are listed for trading on the Athens Stock Exchange.

The repayment of the CBL will be partially effected by the issue of the new Convertible Bond Loan of the Company of up to € 19.357.122 as resolved by the Ordinary General Meeting of the Shareholders on 10.9.2018.

More specifically, under the terms of the CBL, the Company will reimburse the bondholders 100% of the face value of its pre-emptive bonds, namely € 13,76 per bond plus 3,08%, that is by € 14,18 before tax per bond. The tax which corresponds to the increase of 3,08% will be withheld and will be submitted to the Greek State, in accordance with the provisions of the current legislation.

Due to the total early repayment of the CBL and the procedures which are to be followed by the ATHEX, any potential conversion rights may not be served.

The early repayment of all CBL bonds will take place on October 26, 2018 under the terms of the CBL and the ATHEX procedures, subject to the current legislation pertaining to the introduction of restrictions on the transfer of funds abroad through the 'HELLENIC CENTRAL SECURITIES SA '(ATHEXCSD) and subsequently the cancellation of the bonds and their removal from the ATHEXCSD due to total repayment will be proceeded with.

The date on which the bonds will be delisted will be 23.10.2018 and the date set for the redemption to the bondholders of the bonds of the CBL (Record Date) is on 24.10.2018.

Nireus Aquaculture SA is a Greece-based company engaged in marine aquaculture. The Company is active in the production, marketing and distribution of fish, aquaculture products, fish feed and fish farming equipment. Fish farming products include, among others, sea bream, sea bass, common sea bream, sharp snout sea bream, salmon Meagre and Pagrus. Fish processing unit is involved in the production and trade of processed fish for the retail sector and dining establishments in both the domestic and foreign markets and is carried out though its subsidiaries. Fish feed products are manufactured at the Group's Feedus factory, which supports both the Group and the other companies in the sector, whereas fish farming equipment includes nets and cages. The Group exports to over 35 countries countries.
