On February 12, 2020, Noble Energy, Inc. (the "Company") issued a press release
announcing results for the fiscal year and fiscal quarter ended December 31,
2019. A copy of the press release issued by the Company is furnished as Exhibit
99.1 to this Current Report and will be published on the Company's website at
www.nblenergy.com.
The Company's press release announcing its financial results for its fiscal year
and fiscal quarter ended December 31, 2019 contains non-GAAP financial measures.
Generally, a non-GAAP financial measure is a numerical measure of a company's
performance, financial position, or cash flows that either excludes or includes
amounts that are not normally excluded or included in the most directly
comparable measure calculated and presented in accordance with United States
generally accepted accounting principles, or GAAP. The Company has provided
quantitative reconciliations within the press release of the non-GAAP financial
measures to the most directly comparable GAAP financial measures.
In accordance with General Instruction B.2. of Form 8-K, the information set
forth herein and in the press release as Exhibit 99.1 is deemed to be
"furnished" and shall not be "filed" for purposes of Section 18 of the
Securities Exchange Act of 1934, as amended (the "Exchange Act").

On February 12, 2020, we will present certain information in connection with our
call with shareholders, analysts and others relating to our results of
operations, discussed above, and 2020 guidance.
On February 12, 2020, the Company issued a press release with respect to its
