Sunrise General Meeting: all petitions approved by the Board of Directors

At today's regular General Meeting of the shareholders of Sunrise Communications Group AG in Opfikon, all motions brought by the Board of Directors were approved in their entirety. A total of 59.88% of the share capital was represented by the independent proxy (registered stock in the share register entitled to vote: 75.79%).

Elections

The incumbent members of the Board of Directors, Ingo Arnold, Ingrid Deltenre, Michael Krammer, and Christoph Vilanek, nominated for re-election were confirmed for a further one-year term. Furthermore, the General Meeting elected Mr. Thomas D. Meyer, Mr. Thomas Karlovits, Ms. Sonja Stirnimann, and Ms. Henriette Wendt as additional members of the Board of Directors for one year.

The General Meeting elected Thomas D. Meyer for a term of office as Chair of the Board of Directors.

The General Meeting also elected Ingrid Deltenre as Chair of the Compensation Committee and elected the committee's members as proposed.

In its inaugural meeting following the General Meeting, the Board of Directors elected Michael Krammer as its Vice Chair and elected the members of the Audit Committee, which now consists of Ingo Arnold, Thomas Karlovits und Sonja Stirnimann.

Dividend of CHF 4.40 per share - dividend yield of 5.6%

The management report, the consolidated financial statements, and the statutory financial statements of Sunrise Communications Group AG for the 2019 financial year were approved. The shareholders also approved a petition by the Board of Directors to pay a dividend of CHF 198.3 m, or CHF 4.40 per share, which corresponds to a dividend yield of 5.6% based on the closing price from April 7, 2020.

The General Meeting approved the 2019 Compensation Report and approved the maximum aggregate compensation for the Board of Directors covering the period until the next regular General Meeting in 2021, as well as the maximum aggregate compensation for the Management Board for the 2021 financial year.

Furthermore, the shareholders approved the Board of Directors' petition to re-elect the legal firm Keller KLG, Zurich, as independent proxy until the conclusion of the next regular General Meeting.

The General Meeting also approved the re-election of Ernst & Young AG, Zurich, as the auditor for the 2020 financial year.

Discharge

The members of the Board of Directors and the Management Board were discharged of their duties for the 2019 financial year.

Bylaw amendments

The General Meeting approved the creation of additional authorized share capital in accordance with Article 3a of the articles of incorporation.
