Digital Platform in the Philippines

The Siam Cement Public Company Limited (or "SCC") hereby announces that SCG Distribution Company Limited (or "SCG Distribution"), a wholly owned subsidiary of SCC, has entered into a joint-venture agreement with Builk One Group Company Limited (or "BUILK") to establish an integrated technology service company to provide cost control management system, B2B E-commerce platform, and customer relationship management system in the Philippines in response to the growing trend in construction industry and the increasing accessibility to the internet of end-users.

The transaction value is 25 million Philippine peso or approximately 15.5 million Baht. SCG Distribution will hold 70% equity in the new joint-venture, while the remaining 30% equity will be held by BUILK. The operation is expected to start in the first quarter of 2020 which will enhance efficiency to construction industry in the Philippines through digital platform.

Founded in 2016, BUILK is a startup company developing digital platform for contractors to manage construction cost. At present, BUILK has approximately 45,000 active users and is expanding its service to other construction-related platforms in Thailand.

This investment is considered an asset acquisition transaction. The size of this transaction is 0.00% of total assets stated in SCC consolidated financial statements as at December 31, 2019, and when combined with those in the past six months prior to the date of this transaction, the total size is 0.77%. Thus, the disclosure of this transaction is not required pursuant to disclosure rule for the acquisition and disposition of assets. This transaction is not a connected transaction.
