FURTHER DELAY IN DESPATCH OF CIRCULAR AND EXTENSION OF LONG STOP DATE

Reference is made to the announcements (the "Announcements") of Silverman Holdings Limited (the "Company", together with its subsidiaries, the "Group") dated 5 July 2017 and 31 July 2017, respectively, in relation to the disposal of the entire issued share capital of Swift Power Limited (the "Disposal"). Unless otherwise defined, capitalised terms used in this announcement shall have the same meanings as defined in the Announcements.

FURTHER DELAY IN DESPATCH OF CIRCULAR

As disclosed in the announcement of the Company dated 31 July 2017, a circular (the "Circular") containing, among other things, details of the Disposal, a notice convening the EGM, and other information as required by the Listing Rules, will be despatched to the Shareholders on or before 14 August 2017.

As additional time is required for the preparation and finalisation of certain information for inclusion in the Circular, the date of despatch of the Circular will be further postponed to on or before 5 September 2017.

EXTENSION OF LONG STOP DATE

As disclosed in the announcement of the Company dated 5 July 2017, pursuant to the Agreement, Completion is conditional upon the fulfilment of the Conditions on or before 5 September 2017 (or such other date as the Parties may agree in writing) (the "Long Stop Date").

As additional time is required for the Parties to fulfill the Conditions, the Parties have entered into a supplemental agreement on 11 August 2017 to extend the Long Stop Date to 5 November 2017 (or such later date as the Parties may agree). Save and except for the aforesaid extension of the Long Stop Date, all other terms of the Agreement remain unchanged.

As at the date of this announcement, the Board comprises eight directors of the Company, namely Mr. LIU Dong, Mr. LIU Zongjun, Ms. CHEN Chen, Mr. HE Han and Mr. TAN Bin as executive directors of the Company; and Mr. LAM Kai Yeung, Mr. GAO Gordon Xia and Mr. WANG Liangliang as independent non- executive directors of the Company.
