RIGHTS ISSUE OF SHARES

Pursuant to Section 5.2(b) of the Listing Rules of the Colombo Stock Exchange, we write to inform you that the Board of Directors of Acme Printing and Packaging PLC have resolved to issue shares by way of a Right Issue

(i)	The number of shares to be issued	:	123,485,739
(ii)	The proportion in which shares are to be issued	: 03 new ordinary shares for every
			01existing ordinary share
(iii)	The consideration for which the shares are be issued	:	Rs.4.50
(iv)	The current stated capital of the Entity	:	Rs.592,813,000.00

1. The purpose for which the proceeds of the issue are to be utilized :
   To meet the working capital requirements of the Company and capital expenditure.

1. The Rights Issue is subject to the Exchange approving in principle the issue and listing of shares and obtaining shareholder approval at a General Meeting.
