American Education Center, Inc. (OTCPK:AMCT) acquired AEC Southern Management Co., Ltd. from Ye Tian and Rongxia Wang for $0.29 million in stock on November 8, 2016. Under the terms of the agreement, Ye Tian and Rongxia Wang transferred 0.01 million shares of AEC Southern Management in exchange for 1.5 million shares of American Education Center. Ye Tian and Rongxia Wang will each receive 0.75 million shares. The Board of Directors of AEC Southern Management and American Education Center unanimously recommended the transaction to their shareholders. Louis E. Taubman of Hunter Taubman Fischer & Li LLC acted as legal advisor for American Education Center.
