BIOVILL Co.,Ltd. (KOSDAQ:A065940) agreed to acquire NCP Conversion Co., Ltd. from Lee, Dongwook and 11 other sellers for KRW 20 billion on April 3, 2018. The consideration will be paid by issuing 13th unregistered coupon unsecured convertible bond. Under the terms of the transaction, BIOVILL Co.,Ltd. will acquire 11.43 million shares of NCP Conversion Co., Ltd. As per the amendment on November 30, 2018, the consideration amount was amended to KRW 12000 million. For the year ended December 31, 2017, NCP Conversion Co., Ltd. reported sales amount of KRW 5.4 billion and net profit of KRW 31 million. As of December 31, 2017, NCP Conversion Co., Ltd. reported total assets of KRW 6.9 billion and total common equity of KRW 2 billion. The Board of Directors of BIOVILL Co.,Ltd. passed a resolution on the transaction on April 3, 2018. The transaction is expected to close on April 3, 2018.
