Announcement of Resolution to Approve Share Consolidation, Abolishment of Provision Concerning Share Unit Number, and Partial Amendments to the Articles of Incorporation

As disclosed in Announcement of Extraordinary General Meeting of Shareholders for Share Consolidation as well as Abolishment of Provision Concerning Share Unit Number and Partial Amendments to the Articles of Incorporation ("July 30 Press Release"), published July 30, 2021, AOI TYO Holdings Inc. (the "Company") hereby announces that the proposals for share consolidation, the abolishment of provisions concerning share unit number and partial amendments to the articles of incorporation were approved at an extraordinary general meeting of shareholders ("Extraordinary Meeting") held today as proposed.

As a result, the Company's common stock ("Company Stock") is to fall under the scope of delisting criteria defined by securities listing regulations of the Tokyo Stock Exchange, Inc. ("Tokyo Stock Exchange"). Accordingly, Company Stock is expected to be delisted on September 28, 2021 after designation as delisted issues for the period from September 7 to September 27, 2021. Please note that after delisting, Company Stock will no longer be tradeable on the First Section of the Tokyo Stock Exchange.

1. Agenda Item 1 (Share Consolidation)
   The Company obtained approval at the Extraordinary Meeting to conduct a share consolidation ("Share Consolidation"). The details of said Share Consolidation are as published in the July 30 Press Release.
2. Agenda Item 2 (Partial Amendment to the Articles of Incorporation)
   The Company obtained shareholder approval at the Extraordinary Meeting to partially amend the Company's articles of incorporation. The details of said partial amendments are as published in the July 30 Press Release.
