Asahi Intecc Co., Ltd. (TSE:7747) agreed to acquire the remaining 85.3% stake in A-Traction Inc. from MPI-1 Investment Limited Partnership, fund of MedVenture Partners Co., Ltd. and other shareholders for ¥3.5 billion on March 11, 2021. Asahi Intecc will acquire 0.02 million shares and 0.01 million share acquisition rights. As a milestone in response to the achievement of certain conditions in the future, payments of up to 860 million yen may occur by December 2023. The acquisition funds are scheduled to be allocated by cash on hand, etc. A-Traction reported net assets of ¥301 million, operating loss of ¥225 million and net loss of ¥251 million for the year ending, December 2020. Execution of share transfer is scheduled on July 1, 2021. The impact of the share acquisition of this time on consolidated financial results for the fiscal year ending June 2021 will be minimal.
