Reference is made to the announcement released by Fraser and Neave Limited. ("F&N") on the SGXNET dated 15 November 2012.
On 15 November 2012, F&N completed the disposal (the "Disposal"} of ali of the shares it held in the issued and paid-up capitai of Asia Pacific
lnvestment Pte Ltd ("Ae.!.E.!:n and afl of the shares
it held in the issued share capitai of APB to
Heineken lnternational B.Vvia sale and purchase
agreements.
APIPL holds 167,333,732 ordinary shares in the issued share capitai of APB. F&N held a 50% direct interest in APIPL, and prior to the Disposal was deemed to be interested in the APB shares held by APIPL. As such, prior to the completion of the
above transadion. F&N .had an interest in an
aggregate of 186,087,619 shares (representing a
72.06% interest).
As at 15 November 2012, lnternational Beverage Holdings Company (''IB!::IL") held a 28.6% direct interest in F&N, and ThaiBev held a 100% direct interest in IBHL. Prìor to the Disposal, ThaiBev was therefore deemed to be interested in the APB shares in which F&N had an interest pursuant to Section 7(4) and Section 7{4A) of the Companies Act (Chapter 50 of Singapore).
Following the completion of the Disposal, ThaiBev has ceased to be a substantial shareholder of APB.
The change in the percentage level is the result of the transaction as described above.
