BANCA CARIGE: SIGNED THE CLOSING FOR THE DISPOSAL OF THE

CONTROLLING INTEREST HELD BY FITD AND SVI IN FAVOUR OF THE BPER

BANCA GROUP

Genoa, 3 June 2022 - Following up on the press release of 14 February 2022 and the press releases issued today by the Interbank Deposit Protection Fund (FITD), on its own behalf and on behalf of the Voluntary Intervention Scheme (SVI), and by the BPER Banca Group, we announce that the disposal of the controlling interest (of approximately 80% of Banca Carige's share capital), held by FITD and by SVI, in favour of BPER Banca has been completed.

The closing, signed today by the parties, represents the completion of the business combination process started in 2019, which saw the Carige Group involved in the search for a business partner that could fully develop its human and business potential, as well as appreciate its strong dedication to the development and support of the local footprint.

The gradual integration into the BPER Group will allow to best enhance the distinctive elements that characterised the history of Banca Carige, Banca del Monte di Lucca e Banca Cesare Ponti, that today become part of one of the most important groups in the Italian financial scene.
