Bangkok Airways Public Company Limited regarding the termination of the lease agreement and related agreements with Samui Airport Property Fund (Leasehold) ("SPF") received on 27 May 2021, Kiatnakin Phatra Asset Management Company Limited ("Management Company") would like to summarize the offer as follows: At present, BA is the owner and the holder of the land, runway, parking apron and construction on the leased land used for the operation of Samui airport ("Samui Airport") where BA leased Samui Airport to SPF who invested for long-term leasehold rights in the properties under the following agreements: The Long Term Lease Agreement between Samui Airport Property Fund (Leasehold) and Bangkok Airways Public Company Limited dated 24 November 2006, the amendment to the Long Term Lease Agreement dated 4 February 2015 and the amendment to the Long Term Lease Agreement dated 24 November 2018 ("Long Term Lease Agreements") in which SPF leases from BA with the remaining lease term of approximately 15.5 years. The Undertaking Agreement dated 24 November 2006 which stipulates that BA must undertake certain actions in favor of SPF in accordance with its terms because of entry into the Long -Term Lease Agreements.
