At its meeting today, the CaixaBank Board of Directors proposed a new composition of the Management Committee within the framework of the merger project with Bankia. This proposal for the future composition must be approved by the Board of Directors once the merger is effective after having obtained all the necessary regulatory and administrative authorisations.

The proposed new CaixaBank Management Committee will be chaired by Gonzalo Gortázar, as CEO of the entity, and will be composed of:

  • Juan Alcaraz, General Business Manager
  • Xavier Coll, Managing Director of Human Resources (will leave office on 1 January 2022, on which date David López will assume this position)
  • Jordi Mondéjar, General Director of Risks
  • Iñaki Badiola, Director of CIB & International Banking
  • Luis Javier Blas, Media Director
  • Matthias Bulach, Director of Accounting, Management and Capital Control
  • Manuel Galarza, Director of Compliance and Control
  • Mª Luisa Martínez, Director of Communication and Institutional Relations
  • Javier Pano, Chief Financial Officer
  • Marisa Reamosa, Director of Internal Auditing
  • Eugenio Solla, Director of Sustainability
  • Javier Valle, Director of Insurance
  • Óscar Calderón, General Secretary and Secretary of the Board

As indicated in the merger project, the combined entity resulting from the merger will be chaired by José Ignacio Goirigolzarri, current Chairman of Bankia, once appointed by the new CaixaBank Board of Directors. The Communications and Institutional Relations, Internal Audit and Board Secretariat departments will report to Goirigolzarri.

The current CEO, Gonzalo Gortázar, will be the Chief Executive of CaixaBank, directly reporting to the Board of Directors, and Chairman of the Management Committee.

José Ignacio Goirigolzarri expressed his hope that 'the merger will be finalised as soon as possible and that the new team will start working together on this project that will result in the largest financial institution in Spain.'

Gonzalo Gortázar stressed that 'this new team is what the entity needs to address the great challenges that the industry will face in the coming years.'

It is expected that the merger will take place during the first quarter of 2021 -once all the relevant regulatory authorisations have been received- and that operational integration between the two entities will be effective before the end of 2021.

The joint merger project was approved by a large majority at the CaixaBank and Bankia General Shareholders' Meetings, which took place in early December 2020.

The CaixaBank and Bankia General Shareholders' Meetings approved the items on the agenda with support in excess of 99% of all of them.

  • Juan Antonio Alcaraz García

Current position and position after the merger: General Manager of Business

Juan Antonio Alcaraz has been a member of the CaixaBank Management Committee since June 2011. He also serves as Chairman of CaixaBank Payments & Consumer, Chairman of Imagin and is a member of the SegurCaixa Adeslas Board of Directors, as well as Chairman of the Spanish Executives Association.

Born in Madrid in 1961, he holds a Business Administration degree from Cunef (Complutense University of Madrid) and a Business Administration master's degree from IESE.

He joined 'la Caixa' in December 2007, and in his current position as General Business Manager he is responsible for Retail Banking and all areas related to Customer Experience and Specialised Consumer Segments.

He was previously General Manager of Banco Sabadell (2003 - 2007) and Assistant General Manager of Santander and Central Hispano (1990-2003).

Current position: General Manager of Human Resources and Organisation

Position after the merger: General Manager of Human Resources

Xavier Coll has been a member of the CaixaBank Management Committee since June 2011 and is currently CEO of Human Resources and Organisation.

Born in Granollers in 1956, he holds a degree in Medicine from the University of Barcelona and a Master's degree in Business Administration (MBA) from the University of Chicago and in Public Health (MPH) from Johns Hopkins University.

Before joining 'la Caixa' in 2008 as Executive Director of HR and member of the Management Committee, he had more than 30 years of experience in the international field of health, banking and the financial sector, highlighting his positions as Director of the Office of the Chairman and Vice-Chairman of Human Resources at the World Bank and Director of Human Resources at the European Investment Bank.

Current position and after the merger: General Director of Risks

Jordi Mondéjar has been a member of the CaixaBank Management Committee since July 2014 and General Director of Risks since 2016, as well as a member of the Sareb Board of Directors and non-Executive Chairman of Building Centre.

Born in Darmstadt (Germany) in 1968, he holds a degree in Economics and Business Studies from the University of Barcelona and is an accounts auditor registered in the Official Auditors Registrar of the Institute of Accounting and Auditing.

Prior to joining 'la Caixa' in 2000, where he assumed different responsibilities until he became head of risks, he worked for Arthur Andersen & Co. on in-house auditing activities, specialising in the regulated and financial entity sector.

Current position: Executive Director of CIB & International Banking

Position after the merger: Director of CIB & International Banking

Iñaki Badiola has been a member of the CaixaBank Management Committee since January 2019 and is currently the Executive Director of Corporate and Institutional Banking & International Banking.

Born in Madrid in 1967, he has a degree in Economics and Business Studies from the Complutense University of Madrid and a Master's in Business Administration (MBA) from the IE Business School.

Prior to his current position, he was Executive Director of Corporate Institutional Banking and Corporate Director of Structured Finance and Institutional Banking.

Prior to joining CaixaBank, he had more than 20 years of experience in finance with companies from different sectors such as technology (EDS), distribution (ALCAMPO), public administration (GISA), transport (IFERCAT) and real estate (Harmonia).

Current position: Executive Director of Intervention, Management Control and Capital

Matthias Bulach has been a member of the CaixaBank Management Committee since November 2016 and is currently the Executive Director of Intervention, Management Control and Capital.

Born in Schramberg (Germany) in 1976, he holds a degree in Economics (1997-2002) from the University of Sankt Gallen (Switzerland) and a Master's in Business Administration from the IESE Business School.

Before holding his current position, he was Corporate Director of CaixaBank Planning and Capital, and previously Director of the 'la Caixa' Economic Analysis Office. He was also Senior Associate of McKinsey & Company in international and financial projects.

He is currently a member of the Supervisory Board of Erste Group Bank AG and a Director of CaixaBank Asset Management SGIIC S.A., CaixaBank Payments & Consumer and Buildingcenter S.A.

Current position: Executive Director of Media

Luis Javier Blas has been a member of the CaixaBank Management Committee since February 2020 and has been the Executive Director of Media, as well as Chairman of CaixaBank Facilities Management, S.A., Sole Administrator of Silc Immobles, S.A. and Chairman and CEO of Silk Applications, S.L.U.

Born in Madrid in 1966, he has a Law Degree from the University of Alcalá de Henares. He also has a Master's Degree from ESE Business School (2013), INSEAD-BBVA Corporate Programme (2006), PGD IESE-BBVA (2003) and New Economy IESE (2002).

In 2020, he joined CaixaBank after two decades of professional experience in the BBVA group, in recent years as Head of Engineering & Data and member of the BBVA Spain Management Committee. Previously, he assumed executive roles at BBVA Chile and various subsidiaries of the Group.

Bankia current position: Assistant General Manager Credit Risk

CABK position after the merger: Director of Compliance and Control

Manuel Galarza Pont has been a member of the Bankia Management Committee since January 2019.

He was born in Valencia in 1971. He holds a degree in Economics and Business from the University of Valencia, with an extraordinary award for his undergraduate degree. ESADE Senior Management Programme. Member of the Official Register of Auditors.

He has been part of the teaching team of various senior management and MBA programmes, including ESADE.

He began his professional career in 1994 at Arthur Andersen, where he held different positions until 2006 when he assumed the position of Director of Consultancy. In 2008 he was appointed CEO of BISA.

Since January 2011, he has held various positions of responsibility at Bankia, from the Industrial Investees Directorate and the Corporate Directorate of Wholesale Risks in the period 2011-2014 to Madrid East Area Management in 2015-2018. In 2018, he was appointed Corporate Director of Credit Risks and Chairman of the Risk Committee. In January 2019, he was appointed Assistant General Manager of Credit Risks.

He has been a director of listed and unlisted companies, most notably Iberia, Realia, Metrovacesa, NH, Deoleo, Globalvia and Caser.

  • Maria Luisa Martínez Gistau

Current position: Executive Director of Communication, Institutional Relations, Brand and CSR

María Luisa Martínez has been a member of the CaixaBank Management Committee since May 2016.

She holds a degree in Contemporary History from the University of Barcelona and in Information Sciences from the Autonomous University of Barcelona, with a PADE from IESE.

She joined 'la Caixa' in 2001 to manage media relations. In 2014, she was appointed Corporate Director of Communication, Institutional Relations, Brand and CSR at CaixaBank. Since 2016, she has been Executive Director with responsibility for the same areas.

She is Chairwoman of Autocontrol (a leading entity for self-regulation of the advertising industry in Spain), Chairwoman of Dircom Cataluña (a professional association that brings together executives and communication professionals from companies, institutions and consultants) and Vice Chairwoman of Corporate Excellence and Fundacom.

Current position: Chief Financial Officer

Position after the merger: Financial Director

Javier Pano has been a member of the CaixaBank Management Committee since October 2013 and is currently Chief Financial Officer (CFO), managing the Markets (trading books), ALM (banking books) and Investor Relations areas. He is Chairman of ALCO and responsible for managing liquidity and wholesale funding.

Born in Barcelona in 1962, he holds a degree in Business Studies and a Master's Degree in Business Administration from ESADE. He held various responsibilities at Croissant Express and Gesindex, SGIIC until he joined 'la Caixa' in 1993.

Since 2017, he has been a member of the Board of Directors and member of the Risk Committee of Banco BPI, S.A., and since June 2018 he has been a member of the Board of Directors and member of the Appointments Committee of Cecabank, S.A.

  • Marisa Retamosa Fernández

Marisa Retamosa has been a member of the CaixaBank Management Committee since January 2019 and is currently the Executive Director of Internal Auditing.

Born in Barcelona in 1971, she holds a degree in Computer Science from the Polytechnic University of Catalonia (UPC), with CISA Certification (Certified Information System Auditor) and CISM Certification (Certified Information Security Manager) accredited by the International Association ISACA.

She joined 'la Caixa' in 2000, and has held the positions of Corporate Director of CaixaBank Media Security and Governance and Director of the Service in Computer Services Security and Control Area, as well as Director of the CaixaBank Group Media Audit Area.

Previously, she worked at Arthur Andersen, undertaking in-house systems and processes auditing activities, as well as risk consultancy.

Current position at Bankia: Assistant General Manager of Retail Banking

Eugenio Solla has been a member of the Bankia Management Committee since January 2019.

Born in Huelva in 1976, he holds a degree in Business Administration and Management from the University College of Financial Studies (CUNEF), a Master's in Management of Credit Institutions at UNED and an Executive MBA from IESE.

At the beginning of his professional career, he worked in banks such as the Bank of Spain, Argentaria and Arthur Andersen (later Bearingpoint Spain).

In 2004, he joined Ávila Caja de Ahorros as Director of Organisation, a position he held until 2009, when he became Integration Coordinator at Bankia. In 2011, he joined the Chairman's office of Bankia as Director of Strategic Coordination and Market Analysis and became Director of the Chairman's office one year later. Between 2013 and 2015, he was appointed Corporate Marketing Director of the Bank and, in July 2015, Corporate Director of the Madrid North Territory. In January 2019, he was appointed Assistant General Director of Retail Banking.

Current position: Executive Director of Insurance

Javier Valle has been a member of the CaixaBank Management Committee since January 2019 and CEO of VidaCaixa, the leading insurance company in Spain.

Born in Barcelona in 1969, he holds a Bachelor of Business Administration and a Master's in Business Administration from ESADE, and also holds a Community of European Management School degree from HEC Paris.

He is Vice Chairman, member of the Unespa Executive Committee and the Board of Directors, the employer of the insurance industry, and a Board Member of ICEA.

In recent years, he has developed his professional career as General Manager at Bansabadell Vida, Bansabadell Seguros Generales and Bansabadell Pensiones, and has also been CEO of Zurich Vida. In the Zurich Group, he was CFO of Spain and Director of Investments for Spain and Latin America.

Current position and position after the merger: General Secretary and Board Secretary

Óscar Calderón has been General Secretary since 2014 and Secretary of the CaixaBank Board of Directors since 2017.

Born in Barcelona in 1971, he has a Law Degree from the University of Barcelona and a Public Prosecutor (1998 class).

Previously, he was Public Prosecutor in Catalonia (between 1999 and 2003), Solicitor of the General Secretariat of the Savings and Pensions Bank of Barcelona ('la Caixa') (2004), as well as Assistant Secretary of the Board of Directors of Inmobiliaria Colonial, S.A., Secretary of the Board of Banco de Valencia and Vice Secretary of the Board of Directors of the Caja de Ahorros y Pensiones de Barcelona ('la Caixa').

He was the trustee and Vice Secretary of the 'la Caixa' Foundation until its dissolution in 2014, as well as Secretary of the Board of Trustees of the 'la Caixa' Banking Foundation until October 2017.

David López Puig has been a member of the Bankia Management Committee since January 2019.

Born in Las Palmas de Gran Canaria in 1971, he holds a degree in Economics and Business Sciences from the University of Las Palmas de Gran Canaria. He has worked in both local and multinational companies, most notably his time spent at Arthur Andersen.

In 2001, he joined La Caja de Canarias as Director of Human Resources and Systems. The following year, he was appointed Assistant General Manager and Sales Director of La Caja Insular de Ahorros de Canarias. In 2011, once La Caja Insular joined Bankia, he was appointed as an Assistant to the Sales Directorate and, subsequently, Sales Director of the Canary Islands. Between 2012 and 2015, he was Territorial Director of the Canary Islands and, since July 2015, Territorial Director of Madrid Southwest.

Since January 2019, he has been Assistant General Manager of People and Culture, and Chairman of the CECA Labour Relations Committee (March 2019).

(*) David López Puig will join the Management Committee on 1 January 2022, the date on which Xavier Coll Escursell, General Director of Human Resources, will leave his position.
