BES Engineering Corporation owns 99.35% shareholding Subsidiary.
5.Cause of occurrence:BES Engineering Corporation owns 99.35% shareholding
Subsidiary-BES Machinery Co., Ltd. In order to facilitate merger and
acquisition by a business for purposes of reorganization and optimal
operation efficiency, according to Article 19 of the Business Mergers
and Acquisitions Law.The Board of Directors of BES Engineering Corporation
and BES Machinery Co., Ltd. approved the merger on December 29, 2021.
After the merger, which is scheduled to be effective on March 25, 2022.
BES Engineering Corporation shall be the surviving company, and
BES Machinery Co., Ltd. shall be the dissolved company.
All rights and obligations of BES Machinery Co., Ltd. shall be assumed
by BES Engineering Corporation upon the merger effective date.
6.Countermeasures:In addition to the announcement on
the required website in accordance with the law
and also send notice to the creditors.

This notification is hereby given in accordance
with Article 319 of Company and Act 73 of Company Act and
Article 23 of the Business Mergers and Acquisitions Law,
you may file objection in writing with the documentary evidence
of creditor's rights by a written objection within 30 days
from the notification (Depending on the postmark date,
Address:11F.-2, No. 80, Siwei 3rd Rd., Lingya Dist.,
Kaohsiung City 802701 , Taiwan (R.O.C.)).
If you fail to exercise the aforesaid rights within
the prescribed time limit, you will be deemed not to demur to the merger.
