Boutique Corporation Public Company Limited (the "Company") has issued and offered the Newly Issued Ordinary Shares to the existing shareholders of the Company in proportion to their respective shareholding (Right Offering or "RO") in the amount of not exceeding 100,000,000 shares with a par value of Baht 1 per share at the subscription ratio of 5.1 existing ordinary shares per 1 new ordinary share (5.1: 1) at the offering price of Baht 1.80 per share. The number of subscribed shares was 58,729,056 shares in total, with the net proceeds of Baht 105,445,048.80. In addition, the Company has issued and offered the Newly Issued Ordinary Shares to the directors, executives, and employees of the Company and/or its subsidiaries in 2022 (the "BC-ESOP 2022" Program). In the first offering of BC-ESOP 2022 on 24 June 2022, with the offering price at Baht 1.89 per share, there were 169,316 subscribed shares with the total net proceeds of Baht 318,007.24. As a result, the total amount of net proceeds from capital increase during the period of 1 January - 30 June 2022 was Baht 105,763,056.04.
In this regard, the Company would like to report the utilization of proceeds derived from the allocation of newly issued ordinary shares during the period of 1 January - 30 June 2022 as follows:
