CableClix, Inc. entered into letter of intent to acquire RainEarth, Inc. (OTCPK:RNER) on March 24, 2015. CableClix, Inc. and RainEarth entered into a share exchange agreement where 51 million newly issued common shares of RainEarth were exchanged for 40 million common shares and 100% CableClix, Inc. and all of its assets. The capital structure of the combined entity after the share exchange is 52,255,800 issued and outstanding. Surya Chandra has resigned as President of RainEarth and will no longer be associated with RainEarth and Kris Domich is has accepted the position of President and Chief Executive Officer and Director. Mark Bayliss accepted the position of Treasurer and Director and Steinke remains Corporate Secretary as previously announced. RainEarth will immediately pursue a name and symbol change to better reflect the company with the new assets and direction of business. The proposed name change will be to CableClix, Inc. and the new symbol is under review and will be forthcoming. The introduction of CableClix management will occur once the pending final agreement has been executed. Closing of the transaction is subject to the execution of the definitive or share exchange agreement.

CableClix (USA), Inc. (CableClix) is a video streaming and caching company. The Company offers local high definition over-the-air (OTA) network broadcasts, free-to-air (FTA) signals and paid content over private networks owned by Internet service providers (ISPs) directly to the customers of ISPs. The Company's Website, CableClix.com, provides high definition, live, digital video recorder (DVR) and video-on-demand services to subscribers in their local viewing area. CableClix has developed a platform for the delivery of local affiliate content to the intended metropolitan broadcast area, while allowing customers to watch television on a range of devices. The CableClix Intelligent Video Delivery and Cloud DVR solution brings all local channels, including high definition and ultra high 4K, within a given metropolitan broadcast area and up to 100 additional satellite and channels to subscribers. The Company also provides caching servers.
