Public policy affects our ability to fulfill our mission and purpose, meet customer needs and provide shareholder value. Centene has engaged and will continue to engage in public policy activities that improve the delivery of healthcare and positively affect our members, employees, and the communities in which we operate.

It is an important policy of Centene to advocate for our members and to advocate for improvements in the delivery and quality of the nation's healthcare system. Government regulation of the provision of healthcare products and services is a changing area of law that varies from jurisdiction to jurisdiction. Proposed changes to these laws, rules and regulations can have significant effects on our healthcare system. Permitted political contributions and memberships in trade associations play an important role in Centene's public policy engagement efforts.

This Political Activity Report sets forth details about our political contributions and advocacy efforts. Centene abides by all applicable laws and conducts business affairs in accordance with the standards and principles of ethical business conduct, both in letter and spirit. The publication of this report is consistent with Centene's commitment to acting with the highest standards of integrity, transparency and accountability.

Overview and Policy

Centene's purpose is transforming the health of the communities we serve, one person at a time.

Our dedication to serving people is evident in our day-to-day operations. We understand the significance of the work we do and our responsibility to use our data and our experience to shape public policy efforts to make healthcare more accessible and easier to navigate for our members and communities.

Centene engages in public policy in a variety of ways, starting with closely monitoring proposals and trends. We develop policy solutions informed by not only our experience and research, but also through collaboration with local partners and leading advocacy organizations. We engage in direct advocacy at the state and federal levels, often with other stakeholders, including our trade associations, to help build consensus for positive policy changes. We also make political contributions where such contributions are lawful and further our mission and purpose.

This report details Centene's political contributions and public policy engagement in these areas during the report period. Additionally, it describes the measures undertaken to ensure that we adhere to our policies and beliefs while engaging in the political and public policy areas.

Centene's Commitment to Integrity

Uncompromising integrity is one of our core values and serves as the foundation of our business conduct and daily operations. Centene adheres to the strict moral and ethical values set forth in the Centene Code of Conduct, without exception. We know that our future depends entirely on our reputation.

Centene's Commitment to Transparency and Compliance

Under Centene's Business Ethics and Code of Conduct, it is Centene's general policy that, through its employees, Centene will be transparent at all times and will transact business in full compliance with the law and in accordance with the highest principles of business ethics and conduct.

Centene believes that its interests are not served by any unethical practice or activity, even though such practices or activities may not be in technical violation of the law. Therefore, in addition to compliance with applicable legal requirements, Centene, through its Business Ethics and Code of Conduct, expects its directors and employees to adhere to ethical and professional principles when conducting business on behalf of Centene.

Centene's Board of Directors, through its Governance Committee, oversees Centene's political activities, including corporate and PAC expenditures.

Political Contributions

In furtherance of our mission to serve our customers and communities, Centene supports political figures, parties, groups and organizations that it believes can advance its goals. Centene makes political contributions through two primary avenues: 1) the Centene Corporation Political Action Committee, which we refer to as CentenePAC; and 2) corporate contributions.

All of Centene's political contributions, whether through CentenePAC or through direct corporate contributions, are made in accordance with all applicable federal and state laws. We also strictly adhere to our Political Contributions Policy and our Corporate Business Ethics and Code of Conduct when making contributions to ensure that all contributions are made in a manner consistent with our mission and purpose. Adherence to these policies is monitored at the board level by the Governance Committee.

All political contributions reflect Centene's interests and not those of its individual officers or directors. No contributions are made in anticipation of, in recognition of, or in return for an official act. At the same time, a contribution by Centene or CentenePAC does not imply that the company's priorities align with every policy, position or statement made by the candidate or committee.

Political contributions made by Centene and/or its PACs are reviewed to ensure compliance with federal and state laws and reporting requirements. An external party performs an annual compliance review to ensure adherence to Centene's policies and procedures.

CentenePAC

CentenePAC is a federal political committee funded by contributions from Centene board members and eligible employees. All contributions by members and employees and their families are voluntary, and Centene does not pressure or coerce employees to make personal political expenditures or take any retaliatory action against employees who do not. Centene has also established separate but related state political action committees in Missouri (Centene Missouri Federal PAC), New York (Fidelis PAC) and New Jersey (Fidelis Care Voluntary Employee PAC), which are referenced collectively in this report as CentenePAC unless otherwise noted.

CentenePAC's contributions are made in furtherance of Centene's mission and purpose, and all contributions made by CentenePAC are reviewed and approved by the CentenePAC Board of Directors. CentenePAC's contributions are governed by Centene's Political Contributions Policy, the CentenePAC Program Description Policy, and our Policy on Political Action Committee Contributions.

CentenePAC makes contributions on a non-partisan basis, and the CentenePAC board analyzes several factors when determining to whom to make contributions. These factors include, but are not limited to, whether the candidate (1) conducts themselves in an ethical manner, (2) demonstrates strong leadership skills, (3) exhibits an understanding of health care issues, holds a caucus leadership position and/or serves on a legislative committee with jurisdiction over health care issues, (4) supports the broad policy goals of Centene and its employees in developing private sector solutions to our nation's healthcare delivery needs, and (5) represents a district where Centene does business or serves a significant member population.
