VOLUNTARY ANNOUNCEMENT

Reference is made to the circular of CIFI Holdings (Group) Co. Ltd. ( 旭 輝 控 股（集 團） 有 限 公 司) (the "Company") dated 29 June 2020 (the "Circular") and the supplemental announcement of the Company dated 6 July 2020 in relation to the scrip dividend scheme of the Company (the "Scrip Dividend Scheme") for the Eligible Shareholders to elect to receive the 2019 Final Dividend and 2019 Special Dividend in form of cash or the Scrip Shares or partly in cash and partly in the Scrip Shares by 17 July 2020. Unless otherwise defined in this announcement, capitalized terms used in this announcement shall have the same meanings as those defined in the Circular.

The Company would like to provide updated information to the Shareholders that 82,279,281 Scrip Shares were duly issued on 31 July 2020, and the share certificates for such Scrip Shares and cheques for cash dividend were duly sent to the Shareholders on the same date. Each of the Scrip Share was issued at HK$6.63 (being the allotment price per each Scrip Share as disclosed in the Circular) and the 82,279,281 Scrip Shares were issued at total of approximately HK$545.5 million, representing the total dividend of the same amount elected in lieu of cash under the Scrip Dividend Scheme.

The Board was informed that (i) LIN's Family Trust, the family trust in which Mr. LIN Zhong, Mr. LIN Wei and Mr. LIN Feng, being the executive directors and controlling shareholders of the Company, are settlors, and (ii) Sun Success Trust, the discretionary trust in which Mr. LIN Zhong is the settlor had elected to receive the 2019 Final Divided and the 2019 Special Dividend in the form of Scrip Shares in respect of 785,702,360 Shares and 285,714,286 Shares held by each of them respectively as of the Record Date. Accordingly, 33,182,000 Scrip Shares and 12,066,366 Scrip Shares were respectively issued to LIN's Family Trust and Sun Success Trust relating to the total dividend of approximately HK$300 million elected in lieu of cash by LIN's Family Trust and Sun Success Trust.

The Board was further informed that the election by LIN's Family Trust and Sun Success Trust to receive the dividends partly in Scrip Shares, was intended to further strengthen the capital base of the Group. This signifies their support and confidence in the ongoing development of the business of the Group.
