CM.com N.V. (ENXTAM:CMCOM) agreed to acquire CX Company for €15.5 million on May 26, 2020. The consideration will be paid via a combination of cash and CM.com issued 0.26 million new ordinary shares. The new shares being issued comprise 1% of total outstanding shares of CM.com N.V. The consideration also includes a capped earn-out component. CX Company reported sales of €6 million during the year ended December 31, 2019. The two current active founders of CX Company will be retained. The transaction is subject to customary closing conditions and is expected to close at the end of this quarter. Upon closing, the acquisition will be immediately accretive to EBITDA. CM.com N.V. (ENXTAM:CMCOM) completed the acquisition of CX Company on July 2, 2020. The sellers of CX Company are not bound by a lock-up period. Constantijn Voogt of De Brauw Blackstone Westbroek N.V. acted as legal advisor to CM.com N.V. in the transaction. Ingen Housz and Maatschap Versteeg Wigman Sprey Advocaten acted as the legal advisers in the transaction. Deloitte acted as the accountant in the transaction.
