O Banco B3 S.A., na qualidade de depositário e emissor do Programa de BDR Nível I Não Patrocinado da Coupa

Software Inc (Empresa), código ISIN BRC1OUBDR000, em conexão com Aviso aos Acionistas "AQUISIÇÃO - AVISO PRELIMINAR", divulgado em 21/12/2022, informa que foi anunciada a conclusão da aquisição da Empresa pela Thoma Bravo

(Adquirente).

Nos termos do acordo, a transação será total em dinheiro, no qual cada ação detida em custódia dará direito ao recebimento de 81,00 USD.

Após a conclusão do evento é esperado que as ações da Empresa deixarão de ser negociadas na NASDAQ em 01/03/2023.

Importante mencionar que caso a Empresa atualize informações sobre o evento corporativo supracitado, o Banco B3 S.A. soltará novo aviso a mercado, e as datas anunciadas poderão sofrer alterações.

Tratamento das Posições BDR:

Banco B3 S.A, as Depositary and Issuer of the Unsponsored Level 1 BDR Program of Coupa Software Inc (Company), ISIN BRC1OUBDR000, in reference to Notice to Shareholders "AQUISIÇÃO - AVISO PRELIMINAR", released in 21/12/2022, hereby informs that it was announced by the Company the completion of the previously announced Merge with Thoma Bravo

(Surviving Company).

Under the terms of the agreement, Company's shareholders will receive $81,00 per share in an all cash transaction.

Upon completion of this transaction, it is expected that the Company will become privately owned, and therefore, it's shares will be delisted from the NASDAQ Stock

Exchange on 01/03/2023.

Kindly notice that in the eventuality of any updates provided by the parties involved in this transaction, Banco B3 will release a new Notice to Shareholders, therefore, the dates informed below are subject to changes.
