CONDITIONAL SALE AND PURCHASE AGREEMENT IN RESPECT OF THE PROPOSED ACQUISITION OF 100% OF THE ISSUED SHARE CAPITAL OF SHANAYA ENVIRONMENTAL SERVICES PTE. LTD. (THE "PROPOSED ACQUISITION")

• EFFECTIVE DATE FOR PROPOSED CHANGE OF COMPANY'S NAME AND CHANGE OF TRADING COUNTER NAME

Unless otherwise expressly defined herein, all capitalised terms and references have the same meaning as ascribed to them in the announcement made by the Company on 29 September 2020 and the circular dated 29 June 2021 (the "Circular") in relation to, inter alia, the Proposed Acquisition.

1. INTRODUCTION
   The Board refers to the various relevant announcements of the Company from 29 September 2020 to 16 August 2021, as well as the Circular, in relation to the Proposed Transactions including, inter alia, the Proposed Acquisition and the Proposed Change of Company's Name.
2. EFFECTIVE DATE FOR PROPOSED CHANGE OF COMPANY'S NAME
   Further to the extraordinary general meeting ("EGM") of the Company held on 4 August 2021 where the special resolution relating to the Proposed Change of Company's Name was duly passed, the Board wishes to inform Shareholders that the Company has on 18 August 2021 lodged the requisite notification with ACRA relating to the Proposed Change of Company's Name and been notified by ACRA that the name of the Company has been successfully changed from "CPH Ltd." to "Shanaya Limited" with effect from 18 August 2021.
3. CHANGE OF TRADING COUNTER NAME

The Company has arranged with the SGX-ST to change its trading counter name from "CPH" to "Shanaya" on the Catalist board of the SGX-ST. The change of trading counter name will take effect at 9.00 a.m. on Thursday, 19 August 2021.

A separate SGXNET announcement regarding the completion of the Proposed Acquisition is expected to be released later today.
