CPN REIT Management Company Limited (the "REIT Manager") as the REIT Manager of
CPN Retail Growth Leasehold REIT ("CPNREIT"), would like to announce the
resolutions of the 2022 Annual General Meeting ("AGM") of CPNREIT which was held
on 21 April 2022 at 2.00 p.m. via Electronic Media ("E-AGM") pursuant to the
criteria specified in the law related to the meeting via electronics means,
having 695 trust unitholders attended in person and by proxy at the opening time
of the Meeting, representing 1,598,945,606 units in total, being equivalent to
62.2634 percent of the total units sold, the 2022 AGM passed the resolutions as
follows:
Agenda 1 Acknowledgement of the report of the resolutions and the summary of
significant questions and answers of Trust Unitholders from distributing
documentation instead of holding the 2021 Annual General Meeting of Trust
Unitholders
The Meeting acknowledged the report of the resolutions and the summary of
significant questions and answers of Trust Unitholders from distributing
documentation instead of holding the 2021 Annual General Meeting of Trust
Unitholders.
Agenda 2 Acknowledgement of CPNREIT's operating performance for the year 2021
The Meeting acknowledged the CPNREIT's operating performance for the year 2021
Agenda 3 Acknowledgement of CPNREIT's financial statements for the year ended 31
December 2021
The Meeting acknowledged the CPNREIT's financial statements for the year ended
31 December 2021.
Agenda 4 Acknowledgement of the Distribution of Returns for the year 2021
The Meeting acknowledged the Distribution of Returns for the year 2021.
Agenda 5 Acknowledgement of the appointment of the external auditors and
determination of the audit fee for the year 2022
The Meeting acknowledged the appointment of external auditors and determination
of the audit fee for the year 2022, the details are as follow:

(excluding other expenses i.e. travelling expenses, copying expenses, and
others) as well as the delegation of the approval authority to the management to
appoint the external auditor and determine incidental review fees of CPNREIT
incurred in 2022.
