POLL RESULT OF THE 2020 FIRST EXTRAORDINARY GENERAL MEETING HELD ON 14 FEBRUARY 2020 AND ELECTION OF SHAREHOLDER REPRESENTATIVE SUPERVISOR

Reference is made to the notice (the "Notice") of the 2020 First Extraordinary General Meeting (the "EGM") dated 31 December 2019 of Dongfang Electric Corporation Limited (the "Company"). Unless otherwise defined herein, terms used in this announcement shall have the same meaning as defined in the Notice.

The Company held the EGM on Friday, 14 February 2020 at 9:00 a.m. at the conference room of the Company, No. 18 Xixin Road, High-Tech District (Western District), Chengdu City, Sichuan Province, the PRC. Without any new resolution being proposed at the EGM, the resolution as set out in the Notice was duly passed by way of poll (onsite voting and online voting) without amendments by the attending Shareholders and authorized proxies carrying voting rights.

Mr. Zou Lei, Chairman of the Company, acted as the Chairman of the EGM and presided thereat, and some of the Directors, Supervisors and senior management of the Company, attesting lawyers and scrutineer for the poll attended the EGM.

Computershare Hong Kong Investor Services Limited was appointed as the scrutineer for the poll at the EGM, while the attesting lawyers and Supervisor representatives of the Company were responsible for vote counting and supervision thereof. The lawyers from Beijing King & Wood Mallesons (Chengdu) attended and witnessed the EGM and had given legal opinions which are set out as follows: (i) the convening and holding

procedures of the EGM are in accordance with the relevant laws, administrative regulations and regulatory documents such as the Company Law, the Securities Law and the Rules Governing the Shareholders' Meeting of Listed Companies as well as the Articles of Association; (ii) the eligibility of the persons who attended the EGM and the qualification of the convenor are lawful and valid; and (iii) the voting procedures and result of the EGM are lawful and valid.

EGM

As at the date of the EGM, there were a total of 3,118,792,130 Shares in issue (including 2,778,792,130 A Shares and 340,000,000 H Shares) entitling the Shareholders to attend and vote for or against the resolution at the EGM. There was no restriction on any Shareholder to cast their votes for or against the resolution at the EGM. There were no Shares entitling the Shareholders to attend and vote only against the resolution as contained in the EGM Notice.

No Shareholder of the Company was required to abstain from voting on the resolution at the EGM. As the Company had not been informed of any person intending to abstain from voting on or vote against the resolution at the EGM prior to the issue of the EGM Notice, there is no such intention mentioned in the Notice. A total of 13 Shareholders and authorized proxies holding an aggregate of 1,778,726,411 Shares attended the EGM (onsite voting and online voting), all of them accounting for approximately 57.03% of the total number of Shares with voting rights. In particular, 1,740,741,864 Shares are held by holders of A Shares, representing approximately 55.81% of the total number of Shares with voting rights while 37,984,547 Shares are held by holders of H Shares, representing approximately 1.22% of the total number of Shares with voting rights.

All resolution proposed at the EGM was voted by poll. The poll result for the resolution as set out in the Notice is as follows:

As more than half of the votes were cast in favour of the ordinary resolution no. 1, resolution no. 1 was duly passed as an ordinary resolution.

ELECTION OF THE SHAREHOLDER REPRESENTATIVE SUPERVISOR

At the EGM, Mr. Wang Zhiwen was elected as a Shareholder Representative Supervisor of the Company. Please refer to the Notice for the biographical details of Mr. Wang Zhiwen. The term of office of Mr. Wang Zhiwen will commence from the date of being elected as a Supervisor and end upon the expiry of the term of the ninth session of the Supervisory Committee of the Company. His remuneration will comply in accordance with the remuneration plan of the ninth session of the Supervisory Committee as approved by the Shareholders at the 2017 annual general meeting of the Company.

As at the date of this announcement, save as disclosed in the Notice, Mr. Wang Zhiwen

  1. did not hold any other positions in the Company and/or its subsidiaries during the past three years; (ii) did not hold any directorship in any other companies listed in Hong Kong or overseas during the past three years; (iii) does not accept other material appointments nor hold other professional qualifications; and (iv) has no relationship with any other Directors, senior management, substantial or controlling Shareholders (as defined in the Listing Rules) of the Company.

As at the date of this announcement, Mr. Wang Zhiwen does not hold any other interests (within the meaning of Part XV of the Securities and Futures Ordinance) in shares or underlying shares of the Company.

The Directors are of the view that there are no matters related to the appointment of the Shareholder Representative Supervisor which need to be brought to the attention of the Shareholders and there is no information that is required to be disclosed pursuant to Rule 13.51(2)(h) to (v) of the Listing Rules.
