Suntory Holdings Limited completed the acquisition of the remaining 38.3% stake in Dynac Holdings Corporation.

Suntory Holdings Limited made an offer to acquire remaining 38.3% stake in Dynac Holdings Corporation (TSE:2675) for ¥3.5 billion on February 10, 2021. In the acquisition, Suntory Holdings Limited will acquire 2.7 million shares at a price of ¥1300 per share. The purchase period is from February 12, 2021 to April 14, 2021. The settlement date is April 21, 2021. Suntory Holdings Limited appointed Nomura Securities Co., Ltd. to calculate the share value of the Dynac Holdings Corporation shares as a third-party calculation institution independent of the Tender Offeror and the Dynac Holdings Corporation. The minimum number of shares to be purchased for accepting the tender is 0.35 million. Mori Hamada & Matsumoto LPC acted as legal advisor to Dynac Holdings Corporation. Suntory Holdings Limited completed the acquisition of the remaining 38.3% stake in Dynac Holdings Corporation (TSE:2675) on April 14, 2021. In addition, upon approval of this sale request, Dynac Holdings Corporation`s shares will fall under the delisting criteria stipulated in the securities listing rules of the Tokyo Stock Exchange, Inc. As a result, Dynac Holdings Corporation`s shares are expected to be delisted on May 28, 2021 after being designated as a stock to be reorganized from today to May 27, 2021.
