Eco&Dream Co., Ltd. announced a private placement to issue Series 6 Bearer Interest Unsecured Private Placement Exchangeable Bonds for the gross proceeds of KRW 13,000,000,000 on March 4, 2024. The transaction will include participation from new investor Kiwoom Securities Co., Ltd. for KRW 10,500,000,000, Korea Investment & Securities Co., Ltd. (in the position of trustee of Fund 1) for KRW 1,900,000,000 and NH Investment & Securities Co., Ltd. (in the position of trustee of Fund 2) for KRW 600,000,000. The bonds are 100% convertible into 147,058 shares at a fixed conversion price of KRW 88,400 from June 07, 2024 to February 7, 2025.
The bonds bear zero interest rate and 15% maturity rate and matures on March 7, 2025. The transaction has been approved by the shareholders and is expected to close on March 7, 2024. The securities are restricted to a hold period.
Eco&Dream Co Ltd, formerly E&D Co Ltd, is a Korea-based company primarily engaged in the manufacture and sale of catalyst systems. The Company operates its business through two segments. The Environment Business segment is engaged in the manufacture and sale of catalyst systems, which are reduction devices for vehicle emissions reduction projects. The Segment is engaged in the manufacture and sale of catalyst materials for new vehicles such as agricultural and construction machineries. The Secondary Battery Materials segment is engaged in the manufacture and sale of precursors for cathode active materials for secondary batteries used in hybrid and electric vehicles.
