Item 8.01. Other Events.

On June 1, 2023, EG Acquisition Corp. (the "Company") paid the holders of 18,268,171 shares of Class A common stock that properly exercised their right to redeem their shares for cash at a redemption price of approximately $10.24 per share, for an aggregate redemption amount of approximately $187.0 million. After the satisfaction of such redemptions, the balance in the Company's trust account is approximately $43.3 million.

The Company filed a preliminary proxy statement (the "Definitive Proxy Statement") with the Securities and Exchange Commission (the "SEC") on May 5, 2023 in connection with the business combination (the "Business Combination") pursuant to the equity purchase agreement, dated as of October 17, 2022, by and among the Company, LGM Enterprises, LLC (dba flyExclusive) ("flyExclusive") and other parties (the "Equity Purchase Agreement"), and the Company will mail the definitive proxy statement and other relevant documents to its stockholders.
