EV Charging USA, Corp. entered into an agreement and plan of merger to acquire Milwaukee Iron Arena Football, Inc. (OTCPK:MWKI) in a reverse merger transaction on March 25, 2014. Pursuant to this agreement, all of the outstanding shares of EV common stock outstanding shall be converted into the right to receive 4.36 million shares of MWKI series C preferred stock by virtue of the merger. EV being the surviving corporation will become wholly owned subsidiary and the shareholders of EV will become controlling shareholders of MWKI. Directors and Officers of EV shall be the Directors of MWKI.

The Boards of Directors of MWKI and EV have approved this agreement. The closing of the agreement is subject to the satisfaction of a number of conditions including all necessary approvals, permits, consents, assignments, approvals or other authorizations from governmental bodies, agreement shall have been approved and adopted by the EV stockholders, completed the closing of a private offering of 498 million shares of MWKI common stock and 0.20 million shares of MWKI series C preferred stock and Timothy D. Sittig and Brian Howe shall be the directors of surviving entity at closing.

As per agreement on August 20, 2014, each share of Series C Preferred Stock will be convertible into 1,000 shares of our common stock, such that upon such conversion, the holders of the outstanding shares of EV Charging immediately prior to the transaction will own 4.36 billion shares of common stock of the surviving entity. After the merger and private placement, we will have 498.15 million shares of common stock and 4.56 million shares of Series C Preferred Stock outstanding. Upon the full conversion of the Series C Preferred Stock, the surviving entity will have 5.06 billion shares of outstanding. As a result, the holders of the Series C Preferred Stock will have voting control of the surviving entity. At the closing of the transaction, Richard S. Astrom will resign as President and sole Director of Milwaukee Iron Arena Football, Inc. and Brian C. Howe, the President, Chief Executive Officer and sole Director of Charging, will become the President and sole Director of the surviving entity. On October 21, 2014, Milwaukee Iron Arena Football, Inc. changed its name to EV Charging USA, Inc.
