MAJOR AND CONNECTED TRANSACTION FURTHER EXTENSION OF LONG STOP DATE

Reference is made to the announcements of EverChina Int'l Holdings Company Limited (the "Company") dated 13 June 2017, 29 September 2017, 5 December 2017, 20 December 2017, 26 March 2018 and 29 June 2018 and the circular (the "Circular") of the Company dated 28 June 2018 in relation to, among other things, the major and connected transaction of the Company regarding the Acquisition. Capitalised terms used in this announcement shall have the same meaning as those used in the Circular unless otherwise defined.

As disclosed in the announcement of the Company dated 29 June 2018, the Long Stop Date was extended to 31 August 2018. As additional time is required for the fulfilment of the conditions precedent of the Sale and Purchase Agreement, on 30 August 2018, the Company has informed Mr. Jiang to further extend the Long Stop Date to 30 September 2018, or such later date as the Company may agree. Save for the aforesaid extension of the Long Stop Date, all other terms of the Sale and Purchase Agreement remain unchanged and in full force and effect in all respects.
