Item 5.07Submission of Matters to a Vote of Security Holders.
On May 18, 2021, EVO Payments, Inc. (the "Company") held its annual meeting of
stockholders (the "Annual Meeting"). At the Annual Meeting, the Company's
stockholders (i) elected all of the Company's Class III director nominees to
serve until the Company's 2024 annual meeting of stockholders and until their
respective successors are duly elected and qualified; (ii) approved, on an
advisory basis, the compensation of the Company's named executive officers;
(iii) ratified the appointment of Deloitte & Touche LLP as the Company's
independent auditors for the fiscal year ended December 31, 2021; and
(iv) approved, for purposes of Nasdaq Listing Rules, the elimination of the
limitation on conversions contained in the Company's outstanding Series A
convertible preferred stock. The proposals are described in more detail in the
Company's definitive proxy statement filed with the U.S. Securities and Exchange
Commission on April 5, 2021.
