2023 General Meeting of Shareholders of Flughafen Zürich AG
Summary

At today's General Meeting of Shareholders of Flughafen Zürich AG, all the points on the agenda were approved in line with the proposals of the Board of Directors. Thanks to the return to profit, a dividend will be paid out again following a break of several years. Josef Felder was elected as the new Chairman of the Board of Directors, and Claudia Pletscher was elected as a new member of the Board of Directors. The previous Chairman of the Board of Directors Andreas Schmid and CEO Stephan Widrig, both of whom had worked for the company for 23 years, and Board member Eveline Saupper stepped down.

The 2023 General Meeting of Shareholders of Flughafen Zürich AG focused on the financial statements for 2022 and the current developments in the present financial year. Following a first quarter still overshadowed by the pandemic, international air travel bounced back over the course of the year under review. A profit of CHF 207 million was generated in 2022.

All points on the agenda were approved in line with the proposals of the Board of Directors, including the payment of a dividend of CHF 2.40 per share and an additional dividend of CHF 1.10 per share.

Election of the Chairman of the Board of Directors and of the Board of Directors

The shareholders elected the former Board member and CEO of Flughafen Zürich AG, Josef Felder, as the new Chairman of the Board of Directors. The members of the Board of Directors standing for re-election - Guglielmo Brentel, Stephan Gemkow and Corine Mauch - were elected for a further year. Claudia Pletscher was newly elected to the Board of Directors and will assume the role of Vice-Chairwoman and will also head up the Nomination & Compensation Committee (NCC). The members of the NCC are: Claudia Pletscher (Chairwoman), Vincent Albers, Guglielmo Brentel and Josef Felder (no voting right).
The representatives of the Canton of Zurich mandated to sit on the Board of Directors are the Head of Zurich's Department of Economic Affairs, Carmen Walker Späh, Vincent Albers and a new representative, Beatrix Frey-Eigenmann, who is replacing Eveline Saupper. The representatives of the Canton of Zurich on the Board of Directors of Flughafen Zürich AG are not elected by the General Meeting of Shareholders but delegated by the Government Council of the Canton of Zurich.

Departures and recognition

This was the last General Meeting of Shareholders not only for Eveline Saupper but also for Chairman of the Board of Directors Andreas Schmid and CEO Stephan Widrig. The two gentlemen served the company for around 23 years. Their prudent, dedicated and crisis-resistant management was recognised accordingly at the General Meeting. Andreas Schmid thanked Eveline Saupper for her great commitment. She was appointed the delegate of the Canton of Zurich to the Board of Directors in May 2015 and served as Vice-Chairwoman of the Board of Directors for seven years. She also headed the Nomination and Compensation Committee (NCC). As a member of the Board of Directors she contributed a clear stance and her legal acumen.

CEO Stephan Widrig was also honoured for his many years of service. He was a member of the Board of Management for 15 years and managed the company successfully as CEO for eight years. In addition to his entrepreneurial achievements such as diversifying the business model, successfully weathering the Covid pandemic without financial assistance and the construction of the Circle, Andreas Schmid emphasised his strong leadership, great loyalty and the affiliation between Stephan Widrig and the company's employees as well as the good relations with the neighbouring municipalities, the general public and political representatives. Lukas Brosi, currently CFO of Flughafen Zürich AG, will take over from Stephan Widrig on 1 May.

Andreas Schmid, who had already decided in March 2022 not to stand for re-election, was honoured by Carmen Walker Späh, Member of the Government Council of the Canton of Zurich. She praised him for his crisis management and his considerable successes over the past 23 years. These include large-scale construction projects such as the fifth construction phase with the commissioning of the Airside Center and Dock E in 2004, the opening of the newly built Dock B in 2011 and of the Circle in 2020. With his high demands in terms of quality and aesthetics, Andreas Schmid has played a key role in Zurich Airport being designated the best airport in Europe for many years.

The Board of Directors, the Board of Management and the employees of Flughafen Zürich AG wish to thank Board Chairman Andreas Schmid, CEO Stephan Widrig and Board member Eveline Saupper most sincerely for their many years of valuable service.
