CONSECUTIVELY OF THE MERGER, FONCIERE DE PARIS NOW OWNS A RENTING PORTFOLIO OF 2,3 Md D'EUROS CONSTITUED OF ALMOST 90% WITH PARISIAN ASSETS

PARIS, May 12^th, 2015

The extraordinary shareholders meetings of Foncière de Paris and Foncière des 6^ème et 7^ème Arrondissements de Paris, voted today the merger between Foncière de Paris, acquiring company and Foncière des 6^ème et 7^ème Arrondissements de Paris, acquired company. The exchange rate is 3 shares Foncière de Paris for 17 actions Foncière des 6ème et 7ème arrondissements de Paris.

As required in the Merger Treaty, the deal, and correlatively the dissolution without liquidation of Foncière des 6^ème et 7^ème Arrondissements de Paris, are effective today. It is reminded that the start date of the merger has retroactively been fixed to January 1^st, 2015.

In remuneration of the contributions, Foncière de Paris increases its capital by 54.988.200 euros, through the issue of 3.665.880 new shares which will be attributed to the shareholders of Foncière des 6^ème et 7^ème Arrondissements de Paris.

The remaining Foncière des 6^ème et 7^ème Arrondissements de Paris shares not taken up will be sold within 30 days in the market and proceeds distributed to the fractional Foncière Paris France shareholders corresponding to their rights.

The delisting of Foncière des 6^ème et 7^ème Arrondissements de Paris has been requested and NYSE Euronext will soon issue a release.

OUTLOOK

Foncière de Paris renting portfolio now amounts to 2,3 bn euros 90% of which constituted by Parisian assets.

In the future, the simplification of these two entities should optimize the value creation for the shareholder and ensure the regular growth of the dividend. This project also represents an opportunity for the team to share their skills in order to fulfil synergies and hence value creation.
Foncière de Paris SIIC will enlarge its investment policy to the one developed by Foncière des 6^èmeet 7^ème Arrondissements de Paris by also targeting high quality assets located in the best areas of the left bank.

On July 28th, 2015,Foncière de Paris half-year financial statements will be published.
