Pluris Investments, SA made a tender offer to acquire remaining 69.8% stake in Grupo Media Capital, SGPS, S.A. (ENXTLS:MCP) from ABANCA Corporación Bancaria, S.A. and other shareholders for €43.6 million on November 25, 2020. The consideration is payable in cash. The offer per share is yet to be finalized by auditor but will be a minimum of €0.67 per share and hence the total consideration will be minimum of €39.5 million. Autoridade Nacional de Comunicações (ANACOM) approved the transaction on January 14, 2021, following the request made to ANACOM by the Competition Authority. Portuguese Regulatory Authority for the Media (ERC) approved the transaction on May 25, 2021. On July 21, 2021, Pluris Investments, SA made an offer to acquire remaining 69.78% stake, representing approximately 59 million shares at an offer price of €0.7395 per share in cash. The offer acceptance period will take place between July 21, 2021 and August 4, 2021.
Pluris Investments, SA completed the acquisition of an additional 5.16% stake in Grupo Media Capital, SGPS, S.A. (ENXTLS:MCP) from ABANCA Corporación Bancaria, S.A. and other shareholders for €3.2 million on August 4, 2021. ABANCA Corporación Bancaria, S.A. sold its entire 5.05% stake under the tender offer. As a result of the tender offer, Pluris Investments now holds 35.38% stake in Grupo Media Capital.
Grupo Média Capital, SGPS, S.A. is one the leading Portuguese media groups. Net sales (excluding businesses in the process of being sold) break down by activity as follows:
- operation of a TV channel (56.5%): operation of the general-interest TVI channel;
- production of televised programs (16.7%; NBP; No. 1 in Portugal): series, soap operas and movies;
- other (26.8%): operation of Internet portals, publishing of music CDs and DVDs, event organization, distribution of films in theaters, DVD distribution, sales of audiovisual rights, etc.
Net sales (excluding businesses in the process of being sold) break down by source of income between sales of advertising space (53.9%), and other (46.1%).
