On 20 June 2023, the Annual General Meeting of H&K AG resolved to use EUR 1,419,311.36 of the net profit for the 2022 financial year of EUR 183,615,487.86 reported in the annual financial statements of H&K AG to distribute a dividend of EUR 0.04 per no-par value share entitled to dividend and to carry forward the remaining amount of EUR 182,196,176.50 to new account. In accordance with Section 58 para. 4 sentence 2 German Stock Corporation Act, the payment of the resolved dividend shall be made on the third business day following the resolution of the Annual General Meeting, i.e. on 23 June 2023. The dividend shall be paid out via Clearstream Banking AG, Frankfurt am Main, Germany, by the depositary banks. Insofar as the shares are not held in collective safe custody, the dividend shall be paid via Bankhaus Gebrüder Martin AG, Göppingen, Germany, to which corresponding evidence of share ownership must be submitted and which shall act as the central paying agent. The dividend distribution is made from the positive balance of the Company's tax contribution account; therefore, the payment is made without the withholding of capital gains tax.
