Hellenic Company for Telecommunications and Telematic Applications S.A. agreed to acquire WIND Hellas Telecommunications S.A. from Crystal Almond Holdings Limited.

Hellenic Company for Telecommunications and Telematic Applications S.A. agreed to acquire WIND Hellas Telecommunications S.A. from Crystal Almond Holdings Limited on August 16, 2021. Wind-Hellas generates revenues in excess of €500 million annually. The transaction is subject to customary regulatory approvals.

As of December 23, 2021, Transaction is unconditionally approved by European Commission. Transaction is expected to be completed in 2022. As of September 3, 2021 Hellenic Company for Telecommunications and Telematic Applications S.A.'s acquisition by the United Group, announced last month, is expected to complete sometime next year.

As of December 23, 2021, Transaction is expected to be closed in January, 2022. Adam Wollstein, Alvaro Membrillera and Yuni Sobel of Paul, Weiss, Rifkind, Wharton & Garrison LLP acted as a legal advisor for United Group B.V. Aprajita Dhundia, David Higgins and Kirsteen Nicol of Kirkland & Ellis acted as legal advisor to GoldenTree Asset Management, LP which backs Crystal Almond Holdings Limited. Yvan Desmedt of Jones Day acted as Antitrust counsel to Crystal Almond Holdings Limited and WIND Hellas Telecommunications S.A.
