DGAP Voting Rights Announcement: HolidayCheck Group AG
After completion of the capital increase through subscription rights, supported by Commerzbank AG, HolidayCheck Group AG received a notification pursuant to Section 43 paragraph 1 of the German Securities Trading Act (Wertpapierhandelsgesetz - WpHG) from Commerzbank AG: 1. The acquisition of shares in HolidayCheck Group AG by Commerzbank AG which resulted in the threshold of 10 percent of the voting rights being exceeded briefly was neither for the purpose of implementing strategic goals nor to achieve trading profits, but was the result of the technical handling of HolidayCheck Group AG's capital increase on 10 February 2021 in accordance with Section 186, paragraph 5 of the German Stock Corporation Act (Aktiengesetz - AktG). 2. Commerzbank AG has no intention of obtaining further voting rights in HolidayCheck Group AG within the next twelve months through acquisition or in any other way, except in the case of trading transactions as part of normal business activities. 3. Commerzbank AG does not wish to exercise any influence on appointments to the Management Board, Supervisory Board or any other administrative, management or supervisory body of HolidayCheck Group AG. 4. Commerzbank AG does not wish to bring about any significant change in the capital structure of HolidayCheck Group AG, especially with regard to the debt-to-equity ratio or to the company's dividend policy. 5. The acquisition of voting rights was financed through Commerzbank AG's own funds. However, these were immediately refunded by the subscribing shareholders for whom the share subscription was undertaken in a fiduciary capacity.
